Terms of Service Acceptable Use Policy Data Release

These Terms of Service ("Terms") govern your access to and use of the Lexicor website, documentation, evaluation materials, and any pre-release or design-partner services made available to you (together, the "Services").

Lexicor is at an early, pre-general-availability stage. Access is offered for evaluation under separate written agreement (for example, a mutual NDA or design-partner agreement). Where those signed agreements conflict with these Terms, the signed agreement controls.

Acceptance of these Terms

By accessing the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not access or use the Services.

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. The Services are intended for business and professional use, not for consumer or personal use.

The Services and pre-release status

The Services may include information, documentation, application programming interfaces, and software that are under active development. Pre-release features are provided "as available" and may be changed, suspended, or discontinued at any time without notice. Pre-release features may contain defects and should not be relied upon in production or for any decision that could result in loss, harm, or legal exposure.

Acceptable use

Your use of the Services is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Any submission or processing of data through the Services is subject to our Data Release statement.

Accounts and access credentials

Where the Services require credentials or access tokens, you are responsible for keeping them confidential and for all activity that occurs under your access. Notify us promptly at security@lexicor.io if you suspect any unauthorized use.

Intellectual property

The Services, including all software, text, designs, logos, documentation, and the underlying technology, are owned by Lexicor and its licensors and are protected by intellectual-property laws. Except for the limited access expressly granted to you, no rights are transferred. Lexicor technology is the subject of a pending U.S. patent application (Appl. No. 64/042,667).

You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to derive the source code of any part of the Services except to the extent that such restriction is prohibited by applicable law.

Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant Lexicor a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation or compensation to you.

Confidentiality

Non-public information you receive about Lexicor, including pre-release features, documentation, and technical details, is confidential. You agree not to disclose it except as permitted by a signed agreement between you and Lexicor. This obligation is in addition to, and does not replace, any separate confidentiality agreement.

Disclaimer of warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Lexicor does not warrant that the Services will be uninterrupted, error-free, or secure.

Limitation of liability

To the maximum extent permitted by law, Lexicor and its personnel will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Lexicor's total aggregate liability arising out of or related to these Terms will not exceed one hundred U.S. dollars (USD 100), except where a signed agreement states otherwise.

Indemnification

You will defend, indemnify, and hold harmless Lexicor from and against any claims, damages, and expenses (including reasonable legal fees) arising out of your misuse of the Services or your breach of these Terms or the Acceptable Use Policy.

Suspension and termination

We may suspend or terminate your access to the Services at any time, with or without notice, including if we believe you have violated these Terms. Upon termination, you must stop using the Services and delete any non-public materials in your possession. Sections that by their nature should survive termination will survive.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

Governing law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-laws principles. The exclusive venue for any dispute is the state or federal courts located in Delaware, unless a signed agreement provides otherwise.
